Terms of use
Version: 2026-10-26-provider-accounts · Published: 26 October 2026
These General Terms and Conditions govern the Orqestria desktop application, licences, the Start package, optional mentoring and the associated website services. They apply to new contracts concluded under this version. Section 15 governs existing contracts. The separate privacy notice explains personal data processing.
1. Service provider and contact
The provider and licensor is Wiredsign Zártkörűen Működő Részvénytársaság (Wiredsign Zrt.); registered office: 2643 Diósjenő, Dózsa György út 28/b., Hungary; correspondence: 2600 Vác, Deákvári fasor 35. fsz. 4., Hungary; company registration number: 12-10-001683; Hungarian tax number: 29277261-2-12; EU VAT number: HU29277261. Contact for orders, support, complaints and withdrawal: info@orqestria.com; telephone: +36 20 886 1309. Website: orqestria.com. Registration authority: Balassagyarmati Törvényszék Cégbírósága (Hungarian company court).
“We” means Wiredsign Zrt.; “you” means the customer or licence holder. Anyone acting for an organisation must have authority to do so. The licence may be used for your own work and for work for your clients, within the purchased device limits.
2. Scope, language and acceptance
Orqestria is a tool for creating and operating software and automated workflows, primarily for business use. A natural person acting outside their trade or profession nevertheless retains consumer status; selecting a billing option does not override the legal definition. The provisions expressly limited to business customers do not apply to consumers.
You can read, save and print these terms before ordering. The order form requires acceptance of the terms and a separate express acknowledgement of the AI and autonomy risks and, for business customers, the exclusions, liability cap and reimbursement obligation in sections 10–12. We record the time and the version and digest of the documents. Reading the privacy notice is an acknowledgement of information, not consent to all processing.
The contract can be concluded in Hungarian, English or German. The Hungarian text is the governing reference in a discrepancy, without overriding mandatory consumer law or the information and individual terms agreed with you. In this standard online request-and-payment procedure, the contract is concluded by conduct through payment accepting the final offer, not as a contract concluded in written form or a separate deed signed by the parties. We record the order, offer and acceptance electronically and make copies available on request by email.
3. Ordering, contract formation and payment
Select Start or Start with three months of mentoring, enter your contact and billing details, and check the package, taxes, total commitment and instalments. You may correct entries before submission; afterwards notify us promptly by email, quoting your order reference. The final button sends a non-binding order request; it does not itself create a payment obligation. An automatic receipt confirms receipt, not payment, licence activation or our final acceptance of an unresolved price.
Where tax or billing details require review, no uncertain tax treatment or estimated amount becomes an amount payable. We communicate the final gross price and payment schedule before payment. The contract is concluded when you accept our final offer by paying the first instalment specified in the proforma invoice. A change to the requested package or price requires your acceptance; silence is not acceptance. If receipt of an electronic order is not confirmed within 48 hours, you are released from any binding effect of that order.
Payment is by bank transfer to the account on the proforma invoice, using the order reference. Each proforma states its issue date and due date; the ordinary payment period is eight days. No payment card is charged and no automatic annual renewal is created. We issue the required accounting documents and supply the licence after checking receipt of the amount that releases it. An order, proforma or uploaded payment receipt alone is not proof that funds have arrived. Customer emails include a retainable copy of the applicable legal documents; the order and proforma identify the selected package and amounts.
4. Packages, prices and instalments
- Start: HUF 350,000 net once, plus applicable VAT, for a one-year software licence. At 27% Hungarian VAT: HUF 444,500 gross.
- Optional mentoring: HUF 400,000 net per month for three months; four hours of personal mentoring per month and answers to your questions by email. The mentoring commitment is HUF 1,200,000 net; together with Start it is HUF 1,550,000 net, or HUF 1,968,500 gross at 27% VAT.
- With mentoring, the first instalment is HUF 750,000 net for Start and the first mentoring month; the following two monthly instalments are HUF 400,000 net each. At 27% VAT these are HUF 952,500, HUF 508,000 and HUF 508,000 gross. Start is not billed again.
The confirmed order shows the applicable VAT and gross totals, including every instalment. The examples above do not determine a foreign customer's tax treatment. Your country, company name or a supplied VAT number alone does not establish an exemption. AI-provider subscriptions, API calls, hosting, domains and other third-party services are separate costs, unless your individual offer expressly includes an item. Additional work requires a separate agreement.
5. Licence, updates and mentoring
Start permits use on at most two Macs at a time for one year from first activation. Reinstallation and moving the licence do not restart the year. It includes updates released during that period. At the end of the annual term, continued licensed use requires a new agreement; there is no automatic charge.
With Start and mentoring, payment of the first instalment releases the annual licence. Only payment of the Start fee and all three monthly mentoring fees upgrades that same licence to perpetual use with updates without a contractual time limit. Paying the third instalment alone does not cure an unpaid earlier one. No second licence is created. The three-month mentoring period and its monthly hours are separate from the upgraded licence. Finishing mentoring does not end a fully paid perpetual licence.
Perpetual use means that the granted right does not expire merely with time. It does not promise that a third-party AI service, an operating system or a particular external integration will exist unchanged forever, or that new versions will necessarily be released forever. If we release Orqestria updates within your update entitlement, the entitlement covers them. Mandatory consumer conformity and security-update obligations remain unaffected.
Mentoring is guidance and knowledge transfer, not a guarantee of a completed application, revenue, legal compliance or a particular business result. We agree the three-month period and appointments with you by email. A session we fail to provide must be rescheduled or otherwise settled under your applicable contractual rights. Changes to appointments and any additional work are agreed expressly; there is no automatic forfeiture fee in these terms. Merely not attending a session does not itself cancel the three-month package. Your statutory withdrawal, termination and defective-performance rights remain intact.
Previously granted perpetual licences and paid update periods retain the rights originally purchased. The new Start package does not retrospectively convert them into annual licences.
6. Activation, devices and trial use
Activation requires an internet connection and a valid code. The app obtains a signed licence and periodically checks licence and update status, normally about every six hours. A temporary failure to reach our server does not by itself revoke an otherwise valid licence. External AI services normally require their own internet connection; local licence validation does not make cloud AI available offline.
If two Macs are already active, you can move the licence from one of them to another, at most three times in a rolling 30-day period. Contact support for a lost or repaired device or an incorrect restriction. The app uses a pseudonymous hardware fingerprint to recognise a Mac. The privacy notice describes these data.
If you lose a code, contact us for identity and entitlement verification. A replacement disables the old activation code while preserving devices already validly activated. A trial is limited to the devices and expiry stated when issued, normally one Mac. It does not automatically become a paid order.
7. Experts and their services
Expert profiles describe the services and references supplied by the expert. Listing, a photograph, a score or a profile verification is not a promise that an expert's work will achieve your desired result. Before commissioning work, check the scope, supplier, price, deadlines, intellectual-property terms and data access in the individual agreement.
Where Wiredsign contracts with and invoices you, Wiredsign is responsible for its own contractual performance, including persons it uses to perform that contract. Where a verified business expert contracts with and invoices you in their own name, that expert supplies the separately agreed service. We identify the supplier and billing arrangement for the particular order. A later change in an expert's profile or billing mode does not rewrite that order. Experts' remuneration and any platform fee are governed by their separate agreement; the website's “individual expert” or “business expert” classification is not a tax ruling or permission to issue invoices.
8. Intellectual property, catalogue and permitted use
We grant the purchased right to use Orqestria; ownership of the application is not transferred. Do not publish or share activation codes, exceed licensed device limits, circumvent licence controls or grant unauthorised access. Statutory rights concerning software interoperability, permitted reverse engineering and exhaustion of distribution rights remain unaffected.
You retain your existing rights in your inputs. We do not claim ownership of software or other output you create with the tool. This does not guarantee that AI output is unique, copyright-protected or free of third-party rights. Before use, check third-party code and content licences, required attribution, personal-data legal bases and permissions.
Catalogue skills, agents, workflows, templates and repository links may contain executable instructions or third-party code. A catalogue listing is not a security audit, certification or warranty of the linked repository. Review what you import, its permissions, dependencies and licence before running it. The applicable package licence governs that package; it does not override mandatory rights you have against us. Upload or publish only material you have authority to share. By requesting publication, you grant only the rights needed to display, distribute and operate the submitted item for that purpose.
9. Lawful use, protection and suspension
Use only systems, data and accounts you are authorised to access. Do not use Orqestria for unlawful access, deception, infringement or other unlawful acts. You are responsible for deciding whether your specific application is subject to sector rules or obligations concerning AI systems, personal data or automated decisions. A tool, template or AI agent does not supply the necessary authorisation or professional qualification.
We may restrict an affected licence where payment is outstanding, the contract has validly ended, or a material misuse or security threat is established. We give reasons and a reasonable opportunity to remedy the issue where practicable; urgent protection or a legal obligation may require immediate action. Measures must be proportionate. You may request human review by email. Suspension does not remove your data rights or any right to a refund arising under mandatory law.
10. AI output, verification and autonomous operation
AI systems can produce confidently stated but incorrect results, unsafe code, faulty commands, unsuitable settings and incomplete tests. An agent's “done”, review, success indicator or test report is not independent proof of correctness, safety or legal compliance. We do not undertake that AI output is error-free or suitable for your particular purpose.
You determine the task, model, inputs, target environment, access permissions and intended use. Before using, publishing, deploying or relying on an output, you must perform checks proportionate to the risk: functional and security tests, access-control and data-protection review, dependency and licence checks, and appropriate professional review where the activity requires it. Review settings and changes to settings, including the target database, production environment, recipient, credentials, spending limits and external operations. Maintain usable backups and a recovery plan appropriate to your work. The absence of a warning does not establish that an operation is safe.
Enabling autonomous operation, unattended execution or broader tool access is your own decision and assumption of the associated business risk. You choose what may proceed without individual confirmation. Authorisation of a workflow does not eliminate your monitoring, verification and intervention responsibilities. Agents may modify or delete files, run commands, change databases, deploy applications, communicate with external systems and cause chargeable operations within the permissions and integrations you make available. Limit access and costs, separate test and production environments where appropriate, and stop or narrow execution when you cannot verify its effects. You must not rely on a prompt alone as an access-control or backup mechanism. Our own expressly promised safeguards and mandatory legal duties remain our responsibility.
You are responsible for the design, validation, release, operation and maintenance of applications and workflows you build, including their effects on your customers and other people. Using Orqestria does not make us the developer, operator, professional adviser or compliance certifier of your resulting application. An individual contract under which we undertake specific development or operating work is assessed separately.
Provider accounts and charges. Orqestria does not resell access to model providers or their usage credits, supply a pooled Wiredsign provider account, or provide its own central subscription for AI usage. You use your own provider account, subscription, API access or cloud account, or one your organisation authorises you to use. The provider bills the account holder under its own contract. Orqestria licence and service fees are separate and do not include those provider charges, unless the individual offer expressly includes a specific charge. Your selected plan's allowances do not guarantee that every workflow is free of additional provider or integration charges.
Permitted provider use. Your own account and local isolation do not override provider terms or automatically authorise every subscription plan, authentication method, automated use or third-party integration. Before use, verify that the intended business use, automation and authentication method are permitted under the applicable provider contract and plan. Where a provider restricts access through third-party applications or the use of subscription credentials, use only an access method it permits. The availability of an integration in Orqestria is not a guarantee that every account, plan or model may lawfully be used through it. We do not control external providers' model outputs, availability or changes.
Local execution and authentication. In the released macOS application, automated model runs and their related technical probes use mandatory local execution isolation. Installation, actions you perform in your own native Terminal and browser sign-in are separate operations outside that execution isolation. The local runtime coordinates prompts and may pass authentication material from your provider's native sign-in to the isolated command-line tool as needed for the authorised run. Isolation restricts local execution; it does not mean offline operation, prevent all data from leaving your computer or eliminate security, privacy, cost or legal risks.
Content needed for requested operations may reach your selected providers and connected systems. Material you deliberately share with us for support, publication or a separately agreed service is a separate transfer for that purpose. The provider's applicable data settings, retention and training terms must be checked independently; using your own account or local isolation does not replace that review. We make no blanket confidentiality or no-training promise on behalf of external providers.
11. Conformity and warranty
We must supply the agreed licence and services. We do not promise uninterrupted operation, compatibility with every device or external service, or a particular commercial outcome. Report faults with enough non-secret information to investigate them.
For business customers, to the extent permitted by law, we exclude statutory warranty for defects beyond the characteristics and performance expressly agreed in the individual contract. No voluntary guarantee of error-free AI output or of software built by you is given. This provision does not cancel an expressly undertaken service obligation or the mandatory exceptions in section 12.
For consumers, the Hungarian Civil Code and Government Decree 373/2021 (VI. 30.) govern conformity of digital content and services. Depending on the legal conditions, you may request conformity, a proportionate price reduction or termination and repayment. Necessary updates, including security updates, must be supplied for the period required by law; the commercial update period does not shorten this obligation. No provision here reduces mandatory statutory warranty or guarantee rights.
12. Business liability allocation and mandatory exceptions
12.1. Business risks. For customers acting in their trade or profession, to the extent permitted by law, we exclude liability for direct and indirect loss attributable to reliance on erroneous AI output, use of applications you create, the use case or production deployment you choose, incorrect or unverified settings, inappropriate permissions, lack of necessary review or backup, or autonomous operations you authorise. This includes data loss or corruption, system outages, restoration and rework costs, lost profit or revenue, lost business opportunities, third-party claims and external service charges attributable to those risks. The exclusion does not turn a breach of our own mandatory duties into your responsibility.
12.2. Remaining business claims. To the extent liability remains and may legally be limited, our aggregate liability arising from the affected licence is capped at the net licence and update-renewal fees you actually paid for that licence. For a separately charged service, the cap is the net fees actually paid for that affected service during the twelve months preceding the event giving rise to the claim. A single loss is not compensated twice. For a free trial, liability is excluded only to the extent law permits. We additionally exclude lost profit, lost revenue and indirect or consequential business losses to the legally permitted extent. Mandatory repayment, price-reduction or other non-excludable remedies are not converted into capped damages.
12.3. Third-party claims. A business customer must reimburse our proven, reasonable loss and defence costs from a third-party claim only to the extent caused by that customer's culpable breach of these terms, unlawful input or unlawful use of its resulting application. We notify you promptly, allow reasonable participation in the defence and mitigate loss. Reimbursement does not include the part caused by our own conduct or an admission or settlement made without your reasonable involvement. This is not an unlimited indemnity for every third-party claim.
12.4. Exceptions. None of these exclusions or limits applies to intentional breach of contract; harm to life, physical integrity or health; liability that cannot be excluded under mandatory law; mandatory consumer remedies; or data subjects' rights and compensation claims under the GDPR. We remain responsible for our own mandatory obligations as provider, controller or processor. Section 6:152 of the Hungarian Civil Code and all other mandatory rules prevail. Sections 11 and 12 do not create a liability cap or an indemnity obligation for consumers.
12.5. Express acceptance. We draw separate attention to sections 10–12 before contracting and ask for express acceptance of the provisions that depart materially from the ordinary rules. Mere publication of this document, silence or continued use does not substitute for a legally required separate acceptance. For an email agreement the same notice and express acceptance must be recorded in the correspondence.
13. Consumer withdrawal and termination
If you are a consumer, you may withdraw from the distance contract without giving reasons within 14 days of its conclusion, under Government Decree 45/2014 (II. 26.). For a service that has already begun, the corresponding statutory termination right applies. Send an unequivocal statement to info@orqestria.com or our postal address before the deadline. You may use the model below, but are not required to.
Downloading, activating a licence or accepting these terms alone does not waive this right. Under the order process covered by this version, we do not treat those acts as a separate advance consent to losing the withdrawal right for digital content. A request to begin mentoring within the 14 days must be made expressly; if you then terminate, proportionate payment for the service actually supplied may be required only where the statutory information and request requirements have been met. The digital-content and service exceptions must not be conflated.
Where withdrawal requires repayment, we refund the sums due within 14 days of receiving your statement, using the original payment method unless you expressly agree otherwise without cost to you. We may terminate the refunded licence and further performance. Mandatory rules determine any proportionate service fee; no blanket penalty is charged. Business customers have no statutory 14-day consumer withdrawal right; any cancellation right in an individual agreement remains available.
Model statement: “To Wiredsign Zrt., info@orqestria.com, 2643 Diósjenő, Dózsa György út 28/b., Hungary: I hereby give notice that I withdraw from/terminate my contract for the following service: … . Date of contract/order reference: … . Customer's name and address: … . Date: … . Signature, only if sent on paper: … .”
14. Complaints, dispute resolution and law
Send complaints to info@orqestria.com; telephone complaints may be made at +36 20 886 1309. We respond to written consumer complaints substantively within 30 days and give reasons and the available remedies if we reject one. Complaint handling is free. We cooperate in statutory conciliation proceedings.
Consumers may apply to the conciliation body competent for their residence or another body permitted by law. The body serving our registered office is the Borsod-Abaúj-Zemplén Vármegyei Kereskedelmi és Iparkamara által működtetett Békéltető Testület, 3525 Miskolc, Szentpáli u. 1.; postal address: 3501 Miskolc, Pf. 376.; email: bekeltetes@bokik.hu; telephone: +36 46 501-091; bekeltetes.borsodmegye.hu. Access to courts and the competent consumer authority remains available.
Hungarian law governs the contract. For consumers, this does not deprive you of mandatory protection in the country of your habitual residence where applicable. Court jurisdiction follows applicable law; no exclusive forum adverse to consumers is imposed.
15. Changes and previously acquired rights
Each new version is published with its own date. It applies to new contracts and to existing contracts only where a valid agreement or applicable law makes it applicable. An activation, device transfer, update or later visit does not in itself reduce an existing licence, add a fee or impose a new liability exclusion. Where a change needs agreement or separate acceptance, we obtain it. An individual agreement takes precedence over inconsistent standard terms; mandatory law prevails in every case.
